By accessing, browsing, or using the UAE Carbon Reporting website ("Website"), mobile applications, tools, calculators, or any related services (collectively, "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms").

These Terms constitute a legally binding agreement between you and UAE Carbon Reporting ("Company," "we," "us," or "our"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to all of these Terms, you must immediately discontinue use of our Services. Your continued use of the Services following any changes to these Terms constitutes acceptance of those changes.

UAE Carbon Reporting provides information, tools, calculators, and consulting services related to carbon reporting compliance in the United Arab Emirates, specifically regarding Federal Decree-Law No. 11 of 2024 and related regulations.

Our Services include, but are not limited to: educational content about UAE carbon reporting requirements, emissions calculation tools and calculators, compliance guidance and checklists, NRCC registration support information, MRV framework explanations, and consulting service referrals.

All information provided through our Services is for general informational purposes only and does not constitute legal, financial, or professional advice. While we strive for accuracy, we make no representations or warranties about the completeness, reliability, or suitability of the information provided.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Services complies with all applicable laws, regulations, and industry standards.

When submitting information through our lead capture forms, contact forms, or any other interactive features, you warrant that all information provided is accurate, current, and complete. You agree to promptly update any information that becomes outdated.

You must not: use the Services in any manner that could damage, disable, overburden, or impair our servers or networks; attempt to gain unauthorized access to any part of the Services; use any automated means to access or scrape the Services without our express written permission; transmit any viruses, malware, or other harmful code; or engage in any activity that interferes with other users' use of the Services.

All content, features, and functionality on the Website, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, calculators, software, and the overall design and layout, are the exclusive property of UAE Carbon Reporting or its licensors and are protected by UAE and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The UAE Carbon Reporting name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates. You may not use such marks without our prior written permission.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, or for the internal business purposes of the organization you represent. This license does not permit: resale or commercial exploitation of the Services; systematic collection of content to create a database; modification, translation, or creation of derivative works; or reproduction, duplication, copying, selling, or reselling of any portion of the Services without express written consent.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

UAE CARBON REPORTING DOES NOT WARRANT THAT: THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THE RESULTS OBTAINED FROM USING THE SERVICES WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR YOUR PURPOSES; ANY ERRORS IN THE SERVICES WILL BE CORRECTED; OR THE SERVICES WILL BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

Any reliance you place on the information provided through our Services is strictly at your own risk. We strongly recommend consulting with qualified legal, environmental, and financial professionals before making any decisions based on information obtained through our Services.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UAE CARBON REPORTING AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; ANY CONTENT OBTAINED FROM THE SERVICES; OR UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE THOUSAND UAE DIRHAMS (AED 1,000), WHICHEVER IS GREATER.

THE LIMITATIONS OF LIABILITY SHALL APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

You agree to defend, indemnify, and hold harmless UAE Carbon Reporting and its licensors, service providers, employees, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising from: your use of and access to the Services; your violation of any provision of these Terms; your violation of any third-party right, including without limitation any intellectual property, property, or privacy right; or any claim that your content caused damage to a third party.

This indemnification obligation shall survive the termination of these Terms and your use of the Services.

We may terminate or suspend your access to all or part of the Services, with or without notice, for any reason, including without limitation, if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may discontinue use of the Services at any time. However, any obligations incurred prior to termination shall remain in effect.

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the courts of Dubai, United Arab Emirates. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any jurisdiction to prevent irreparable harm pending the resolution of any dispute.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect, posted prominently on the Website or via email if you have provided contact information.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised Terms.

It is your responsibility to review these Terms periodically for changes. Your continued use of the Services following the posting of changes constitutes your binding acceptance of such changes.
